I am trying to slipstream sp4 on to my win2k install dir
I run update with the -s switch and point to my install dir
but i get a box that pops up with update switches and it
exits out.
the install dir i have is a win2000 cd with sp3 already.
Is that the problem. Do i have to have win2000 install
files with no sp files already.

You can slipstream from any service pack level straight to SP4.

The most common mistake that people make when running the update command is
to specify the actual i386 directory. What the command is expecting is to
be pointed at the *directory that contains i386*.

Are you including an extra, unnecessary, space?

The syntax is update.exe /s:<path>

There is no space between the /s: and the path.

Generally we recommend that you slipstream to a directory that has not been
previously slipstreamed with another service pack. So, try this. Copy the
I386 folder with no SP level to a new install directory and then try to
slipstream to that new directory.
