SHOULD I UPGRADE MY MOTHER BOARD?

This is what I have now with a 1.0GHZ Duron Chip:

Question: Can I use the memory modules from the old board on the
ones?. I am gun-shy about Celeron processors but have been told the
new ones are far superior to the old. Any comments?
