sharing on a LAN XP >98SE

have problem sharing a folder across our LAN
win 98 win XP,,,i want to share a folder on XP which resides on d:
partition [fat32] i set a share on the folder [full control] it cant
howver be seen from win 98...the user gets an access denied unknown
error 31 when clicking on the icon for the xp machine in network
neighborhood...i assume it is unknown as a setting in the XP Pc is
stopping access...my question is what could that setting be??
