Server driving me NUTS!

We have a PC that was promoted to a department DC when our old (pIII)
server died. The server has the following:
Asus A7N8X Deluxe MN
AMD XP 2800+ CPU
1GB RAM
2 SATA drives using the on-board SATA RAID controller (mirrored,
RAID 1)
CD/DVD burner
3Com Gigabit LAN
RealTech (??) 10/100 LAN
Adaptec 2940UW SCSI adaptor
Seagate DDS3 internal tape backup drive

We installed WInders 2000 Server and let the AD migrate over. We
promoted this to the primary DC and demoted the old DC and took it out
of commission.

Now I get LOTS of errors like:

The server was unable to allocate from the system paged pool because
the pool was empty.

----------------------------------------------
Then the system locks up.

Other issues include:

Backup Exec services just shuts down during the day and I have to
reboot to get a backup to run (which it will do successfully if I
reboot first.)

PowerQuest V2i Protector gets about 2/3 through a drive image backup
and quits because the RPC service is no longer available.

There are times when I'm logged in locally on the server where it will
just hang and today it just rebooted on its own (no record written in
the Log files about this, either.)

I've search MS's site, change the PagePool info (like start at 40%
instead of 80%, make the max use of page pool memory, etc.) that
hasn't helped.

Any other ideas what I can check? I've even had the Active Directory
be unable to find users and stop (perhaps because of the page pool
issue?)

Funny thing is most of these errors occur at the wee hours of the
morning when NOBODY is there!

ANY help or insight is GREATLY appreciated!
