rundll32 is not responding

I am having trouble with this component after having fixed some graphics corruptions, reinstalling the video drivers, etc. Now when I shut down the computer, an error window comes up saying that rundll32.exe is trying to shut down, and that it is not responding. I know this file is important, but I don't know why or what to do about it. I don't know how to extract files from the Windows XP reinstall disc to try to replace it! HELP
 
I also need help with this, on my desktop almost every program i try and open says cannot find rundll32. I think it was deleted somehow. Please someone help as most of my programs wont open and it sucks, Thanks
 
I have found a lot of posts with a similar problem with this file, but trying all of the suggestions, I haven't found the solution yet
