rundll.exe

Because all processes must terminate when you shutdown. What you have is a
16 bit dll file that is not terminating properly (which is why rundll.exe is
still running). Try ending programs and processes manually before shutting
down to figure out what is causing it. Use Task Manager for this
(ctrl+shift+escape).
