retire domain controller and install another one in its place

I have a win2k server domain controller and 2 win2k member servers and winxp
pro workstations.

The problem is that the domain controller is to an extent a file server as
well and I would rather dedicate it as a file server and transfer all the
user accounts and active directory to another server. How do I go about
doing this?

Any help would be greatly appreciated.

Hello,

install a second domain controller DC2.
install but don't run on DC2 any network services your first DC is
running (DNS,
DHCP, etc.)
Make sure AD is synchronized and working properly.
Transfer all FSMO roles to DC2.
Make any configuration changes for services like DNS / DHCP.
Disable network services on the file server.
Enable network services on DC2.
Make sure AD is synchronized and working properly.
Demote the file server to member server.
