I've read the KB 824125 article on how to do this, but it isn't clear
on whether to boot to the Win2000 cd after replacing the motherboard or
let the "Upgrade" continue from the HD.

4. Just as the computer begins to restart, turn off the computer.
5. Replace the existing motherboard with the new motherboard.
6. Turn on the computer, and then allow the upgrade to continue. (boot
CD or HD?)

Assuming a functioning sys in which you wish to replace mobo.
Shutdown, replace mobo, boot with wincd and repair the installation.
NB if you are using sata hd's you will likely need sata/raid drivers on a
floppy and use F6 during the repair process.
