Replacing existing backup DNS server

I am going to be upgrading my domain to 2003 shortly. I have an old Compaq
Proliant running my secondary DNS service internally. I want to decommission
that server with a brand new Dell Power Edge, that will be acting as the
backup DNS server. My dilemma is, I want to keep the same NetBios name and IP
address as the old DC that is getting decommisoned. I want the new server to
take over for the old one seamlessly. Thank you.

If the DNS server is on a DC calling it a backup DNS server is a misnomer if
you are using AD integrated zones. AD integrated zones are all masters and
writable.
IIRC, you can rename a domain controller of a Win2k3 domain after it is
raised to Windows server 2003 functional level.
 
Thank you for your response Kevin. Couldn't I demote the server first to a
member server, then rename it, and bring the new server online with the same
NetBios name? I am still in 2000 functional level.

You can, if you have more than one DC and it isn't a Certificate Authority
server.

you will be able to rename a w2k3 dc also if it is in non-w2k3
functional level. for that you need to use the control panel. when in
domain functional level you can rename also using NETDOM which is by
the way recommended! (replication purposes)
