removing and replacing scenes ,, keeping original sound track

Good Day

Need some urgent help please. I am busy editing a video (shot on 2 different
dv cameras). I have started with the main camera (45 minutes) , and I have
also put the second camera's footage on the time-line.
I have dragged the video on to the music line ,, in order to be able to cut
out scenes from first camera and replace with scenes from another camera ,,
thereby keeping the original sound.
I am having major problems in trying to replace exactly the same amount .
For example I have removed a scene of 3:14 (3 seconds, 14) . On the other
footage the closest I can get is 3:12. I have tried for hours. No matter
what it is always .2 of a second out . In order to have the sound
synchronized ,, I have to take out and replace exactly the same amount of
video ..
On the one the scene starts at 5:33.12 and end at 5:36:26 yet on the other
it ends on 5:36:24 etc etc

If you're using the audio of the file on the music track, then muting the
audio of the video track lets you adjust the clips relative to each other...
only when the sync is critical would you need to align them perfectly... use
still pictures (like a plain black image) between clips on the video track
to adjust the position of the video clip slightly.
