Hello Tony,
I checked some articles and found several issues that would cause a need
for re-activation. Here is what I found. There may be other issues that I
didn't stumble across.
Hope this helps
Clock Tampering, or Incorrect Time and Date
Tampering with the clock may cause the activation to be required on next
boot. For additional information about problems with the clock, click the
article number below to view the article in the Microsoft Knowledge Base:
Causes of Re-activation
The following conditions could make it necessary to reactivate Windows:
" Formatting and reinstalling cause Activation to be needed again, which
under normal circumstances results in another Internet activation.
" Tampering or corruption in some areas of the registry can trigger a
required re-activation.
" Changing hardware can cause activation.
" After the threshold number of hardware (only hardware examined by MPA)
changes has passed, a required re-activation on the next reboot may be
triggered.
" If 120 days have passed since the first activation then the activation
will be allowed over the Internet.
" If the hardware changes before 120 days have passed, you have to make a
phone call.
" Failing hardware memory may cause erratic WPA behavior during logon.
Validating Activation and inability to logon may occur as a result.
Damaged Files Can Trigger Required Re-activation
Damaged files can trigger a required re-activation. Some of the possible
causes are:
" Hacking.
" Corruption on disk.
" Unexplained mismatched MPA files.
Use SFC to verify file integrity where applicable.

I don't get it, but I sure don't like it. No physical changes have been made
to my system since last time I activated XP Home. Now suddenly I get this
pop saying something about significant changes made to system since last
activation, therefore I need to reactivate? WTH? My copy's legit/legal, but
this is irritating and questionable. Anyone care to explain this one? TIA.
