re-sale of Windows program

I purchased a new sealed version of Win 20000 from an
authorized dealer. I installed the program in my computer.

May I re-sell the entire package privately to a 3rd. party
that wants to buy it from me rather than purchase a new
sealed box from a store/dealer such as Office Depot? Is
this legal? Is the license that came with the program
freely transferable without obtaning a new licence from
microsoft? o

As long as it's not OEM and you have removed the software from your machine,
yes, no problem.
 
if you sell it you can no longer use it on your system
unless you purchase another licence.

If it came with a system and has "can only be supplied with
a new PC" or something like this you basically need to sell
the whole system to transfer the software.

If the software is a retail version you can sell to whomever
you like
