Has anyone encountered a desktop takeover by Razespyware?

Details:
Desktop background is red with black window in center,
flashing red text "DANGER: SPYWARE"
Two hyperlinks in the window that download the freeware
version of Razespyware.
Prevents right click on the desktop. (to get to display properties.)

MS spyware (with latest rev def file) didn't find it,
nor did AdawareSE or Nortons.

There is a product by this name offered, apparently, by both Cnet
(download.com??) and Windows Marketplace.

There is a thread with this same name in the .announcements group with some
similar discussion.

In attempting to find out what this product is about, I went to the vendors
site, and hit the download button. I was immediately greeted by a virus
warning by my F-secure antivirus. Another forum participant has verified
that, but he also uses the same antivirus. Another colleague check this out
and didn't get any warning from a different antivirus.

This clearly is an unacceptable sales technique, but I don't have a clear
picture of the product being sold, nor of what mechanism (or whose) is
generating these popups.

Can you please do a tools, suspected spyware report in Microsoft
Antispyware?
