It is because you probably are using the upgrade version and do not have a
version of Office that qualifies installed. If you do have a qualifying
Office CD, you can replace the XP Office CD with the qualifier and setup
will scan the CD and proceed with the setup.
BTW, downloading is usually associated with downloading information from the
internet or other source. What you are doing is "installing" a suite of
applications.
If you need more help, you should ask in the dedicated microsoft office
newsgroups. This newsgroup is for Windows XP.
