PC will not shutdown and System running at 100 cpu

There is something strange happening on my Laptop. It is
running Windows XP Professional Version First of all the
PC will not shutdown. It says trying to shutdown by
never suceeds.

The second weird thing I noticed is that the "System"
process is running at almost 100% cpu. It will yeild to
other process but it is consistently running at high cpu.

I have rans symantic virus scanner but it did not find
any problems and the system plus it is uptodate with all
latest Windows Updates.

Any idea before I consider reinstalling?

Try Adaware www.lavasoft.de update deffs prior to running.
Try terminating any background apps, prior to shutdown. If that works enable
apps untill prob.found
