I had to reinstall my XP Software. Prior to the
reinstallation I downloaded a file that was "suppose" to
have my addresses, etc. from my OUTLOOK 2002 file.

I have tried to import that file with no luck. The file
I copied is a OFFICE DATA FILE.

Any assistance would be appreciated.

If you're talking about a .PST file (enable file extensions to see if that's
what you're looking at), make sure it's not marked read only when you try to
access it. Also, it's better to open the file instead of import from it --
things tend to get lost when importing. You can only open the file from
within Outlook.

Look at the following two articles for help with this -- one is a primer on
Outlook files, and the other gives instructions for moving to a new Outlook
2002 machine.
