The PDC emulator is the time authority on a W2K domain. All members of the
domain must synchronize time with this DC. Trying to sync clients with any
other time server may and will prevent replication, tickets and logins to be
processed. By default, all W2K clients automatically sync to PDC emulator.
Only this FSMO role should sync with an external atomic time server.

When a new DC is added to a W2K domain and an old DC demoted, failure to
transfer the 5 FSMO roles before demoting old DC will destroy a W2K domain.
The FSMO roles, like time synchronization are absolutely critical in a W2K
domain environment.

thank you SaltPeter for your answer
But in our case we have 2 different domains 2 different forests without any relation between them .
[the idea was to change domain name , users and objects was migrated using Active Directory Migration tools, now this domains cannot access each other normally. Exp. when typing "c:\net time" on the new server the answer is " access denied " ..]
but the member servers was disjoined from the first to the second
