I have a corrupted ntfskrnl.exe file in the
\windows\system32 directory. I have a recent back-up of
the file and I need to move the backup into the stsem32
directory, but DOS prompt keeps telling me "Access Denied"
and I can not get around it.

I can not boot other than in DOS and I need to either
delete the old file or overright it with the backup.
Please help

It is because you are using the NTFS file system.
DOS, 3.1x, 95, and 98 cannot access an NTFS drive without third party tools.
It is very reckless to choose a file system without looking at the
information on it.

Change the obvious to the obvious.

Boot from the XP CD and choose Repair, this will take you to the recovery console, type help there.
