I am upgrading my system with new M/B (ASUS A7V8X-X) CPU (AMD Athlon XP2600)
and 333MHz DDR RAM.

Will I be able to simply replace the 'old' with the 'new' and boot-up as
normal or is there more to this upgrade than I am aware of? The Hard Drive
(C) which holds all my operating and applications files as well as all docs
and pics etc., is being retained.

Your valuable comments would be welcomed
Thanks

for replacing the RAM let the computer cool down and just replace it with
new one, that's it.
What is M/B anyway?

I just did this last weekend. After you have add your new hardware DO NOT
boot directly into Windows. Instead boot with your XP CD and run a Repair
Install. Information on doing that is found here
http://www.webtree.ca/windowsxp/repair_xp.htm You will be prompted to
Activate. If you see a message stating that the "Activation Center cannot be
reached" you will need to phone to Activate. Personally I would hold off
activating for a day or two to ensure that your new hardware is behaving
correctly.

RAM wouldnt need a new install, the motherboard and CPU will though. You
will also have to reactivate most likely. I posted to your other thread on
this as well.

Greetings --

Normally, unless the new motherboard is virtually identical to the
old one (same chipset, same IDE controllers, same BIOS version, etc.),
you'll need to perform a repair (a.k.a. in-place upgrade)
installation, at the very least:

How to Perform an In-Place Upgrade of Windows XP

As always when undertaking such a significant change, back up any
important data before starting.

This may also require re-activation. If it's been more than 120
days since you last activated that specific Product Key, you'll most
likely be able to activate via the internet without problem. If it's
been less, you might have to make a 5 minute phone call.
