The following is from the download page:

If you are performing an uninstall of your current nForce drivers, your
system will have to re-enumerate all devices and restart prior to
install of your new package. Multiple restarts may be required; please
comply with all instructions to reboot. Failure to do so may cause the
install to fail the installation of needed components resulting in
system reliability issues.

Is there any reason to uninstall the old drivers rather than install
over them?

Yep, I had to de install the 2.45 drivers and then it began the 3.13
installation. The deiinstallation of the old Gart driver locked up and
I had to boot to safe mode in XP to remove it....what a pain but the
computer is working again. Now to see if anything is improved over the
2.45's. This will probably be my last Nvidea product since they just
cannot seem to get driver installation right!

I don't have a definitive answer, but in my case, I just installed
over the existing drivers and everything seems to work just fine.
However, my 3dmark2k1 bench results are now about 200 points lower :(

hi

im running an A7N8X deluxe v2.0 board with 1007 and a radeon 9600 pro.

ive heard many a post to uninstall the nvidia drivers use a nvidia driver
removal tool etc. also ive read that ati drivers should be uninstalled.

i simply installed over my exisiting nvidia drivers.

all is well with the mobo and the vid card.

one thing to remeber is to disable antivirus programs and other programs
running in the background.

Yep. Over install worked besf for me. Originally I removed the 2.45 then
installed the 3.13. The result was a mess. I reinstalled 2.45, then I over
installed 3.13 very smoothly.

Just installed on top of the 2.64 set and all is well so far.

Did an install over 2.45. When I finished I went to Windows Explorer and
compared the directory for 2.45 against the directory for 3.13. New
driver had one less sub-directory. The USB sub-directory was missing.
However, all seems to be working well so in a week I'm going to
eliminate all of the 2.45 files in C:\nvidia\...\2.45 to save approx
28.1MB.

Thanks for the comments!
