well, it depends if you
have issues with hard ware
or it is simply an issue
with the software.

if you have a genuine windows
installation cd you can use it to
access the repair console and
run some commands at the disk
prompt or

you can use the cd to repair
your windows installation to
replace missing or corrupted
system files on the disk with
genuine ones from the cd.

More details would be very helpful, but there's a quick and inexpensive
thing you can try that sometimes fixes booting problems. You do need to be
able to access your hard disk without booting Windows, so you either attach
it to another system via USB2 case or adapter, or use a boot CD such as the
Ubuntu Live CD. You might be able to use an XP boot CD depending on how
the Recovery Console is configured on your system.

What you would be doing is locating one or two files in the root folder,
pagefile.sys and hiberfil.sys, deleting them, and emptying the wastebasket.
Then you re-attach the drive or just reboot the system without the CD.
The initial start sometimes fails, and you power off and restart again after
letting it hang for a few minutes. The second time you boot, you should
actually get into Windows; just say "continue" if you get a message that the
system didn't start properly.

Sometmes the pagefile corrupts due to things like brief power outages, and
this can prevent the system from booting into Windows. Deleting the
pagefile forces Windows to create a new, valid one.

This has worked for me several times, and it takes only a few minutes.
