Moving TS from my old DC to new one. Do I need to put on PDC Emulator ?

Currently my TS Licensing server is on my PDC emulator. I need to replace
that hardware.
I backed up system state and \Lserver folder under system32.

Do I need to put the TS licensing server necessarily on a PDC emulator in
order to have that TS functioning ?
 
No, the PDC Emulator server role has no meaning in the discovery
process of the TS Licensing server.
Just move the LS to another Domain Controller and you should be ready
to go.

If restore the system state to my NewComputer and restore contents of
\system32\server folder, can you tell me if that is enough to get my
licenses back ? Any other consideration ?
 
No, you will still have to phone the Clearinghouse to get your
licenses re-issued.
