Move Active Directory and DNS to another server

I have a Windows 2000 server that is a domain controller
servicing AD and DNS for the entire company. I would like
to move these services to the new Dell Windows 2000
server. I have 30 users, ~30+ workstations and
Exchange2000 on another Windows 2000 server. What is the
best way to migrate from the old to the new server? What
do I need to do with the Exchange2000 server after the
migration?

Any help is greatly appreciated.

Shawn, there are a few options that you have. I will give you the easiest
one. Assumptions on my part: the Exchange Server 2000 is running on a
WIN2000 Member Server.

Build that new server, install WIN2000 in it, run DCPROMO ( where you add an
additional DC to an existing domain ), install the Service Pack and critical
updates, install DNS on the 'new' DC ( you can either install it as DDNS -
assuming that the 'old' DC is running that - or you can install it as a
Secondary should the 'old' DC be running DNS as a Primary ), transfer all
five of the FSMO Roles over from the 'old' DC to the 'new' DC and make the
'new' DC a Global Catalog Server.

Are there any other services that the 'old' DC runs? Are you planning on
retiring the 'old' DC or is it going to stick around? Having two DCs is
always a very very good thing.

If you are going to retire the 'old' DC then there are a couple of
additional things that you should do AFTER you have the 'new' DC up and
running and have transferred any services that it might be running. You
should remove the Global Catalog from this DC. Run DCPROMO. Check
everything to make sure that it is actually removed from AD ( ADSIEdit,
DNS, etc. ).

I always suggest that everyone install the Support Tools on all WIN2000
Servers. There are a great many really useful tools. The Support Tools can
be located in two places: on the WIN2000 Server CD in the Support | Tools
folder and on the WIN2000 Service Pack CD in the Support | Tools folder. I
would use the Service Pack CD for this if possible.

Better will be
1) Install WIN2K server
2) Install latest SP (SP4) and post_SP_fixes
3) read http://support.microsoft.com/?kbid=300684
4) make DCPROMO
