Do you know of any real issue with the replacement? I'm a
techical person, but haven't ever done a motherboard
replacement.

In the past Dell has used proprietary pinouts on the MB connector on
the PSU, forcing the use of a Dell PSU if the original fails, or a
Dell MB if the original of that fails. If a standard PSU will fit, I
don't see any reason not to upgrade the PSU at the same time. Dell
has also used proprietary locations for attachment holes in MBs, so
that may be an issue also...
 
w2k installing a new motherboard keeping old hardware

run sysprep, shutdown,swap in new MB, boot up. all
drivers are installed new.
thank god for plug and play. no need to reinstall the OS.

p.s. does not work on a win2k DC so keep that in mind

Normally, unless the new motherboard is virtually identical to the
old one (same chipset, IDE controllers, etc), you'll most likely need
to perform a repair (a.k.a. in-place upgrade) installation, at the
very least (and don't forget to reinstall any service packs and
subsequent hot fixes):
