mobo upgrade

I was wondering if anyone could tell me if you can
upgrade to a new motherboard and processor after
installing windows xp. i am running a PIII on a tyan mobo.
and would like to upgrade to a P4 but I dont know if I
need to buy another operating system I have heard about
the point system and I dont know if that will play a role
here. thank you for any hep you can give.
