I currently have a small win2k network with 2 domain controllers. We are
replacing the first (root) domain controller with a brand new box that has
win2k3 R2 already installed. What are the steps that need to be done? Also,
how do I transfer all the active directory data to the new machine?

Paul gave you a reference but do your best to think UPGRADE, not
migration.

Upgrades are almost always better and easier.

Upgrade the schmema with the ADPrep/forestprep from R2 Disk 2,
and the domain as well with ADPrep. DCPromo the new DC.

Make it a GC, and DNS.

Transfer any roles before you remove any old DCs.
