Is there a guide out there?
Need a replacement for windows 98 but don't want to get stung for a single
system (oem) license for xp home ..as hardware upgrades may follow .. or
even a new system ..

Tough call on whether to update 98/ME, now that Official support
has ended. If the machine only has 128 Megabytes of RAM (and
probably hard to find SDRAM) then I'd probably just opt for the
Dell "Weekly Special". They've got a new commercial that makes
it appear like they build it just for you. Think I heard a price of
~$499 with flat panel. Every time I leave the TV sound on in the
office that commercial plays at least TWICE as loud as everything
else on the channel.
With the new CPUs that will be available soon (Core 2 Duo) you
can expect to see some real price cutting on existing lines of PCs.
Dell may even drop prices lower to clear out their existing inventory
of Intel chips.
I'm trying to discourage my 9X customers from upgrading unless
they are willing to spend ~$100 on XP and ~$65-100 on RAM.

If you buy an OEM license and upgrade your own computer or put together your
own new system, you are the OEM and can use that license for that machine.
The question of whether or not to choose an OEM or Retail version depends on
how cheap OEM versions of Vista will be. Will it be cheaper to buy an OEM
version of Vista or will it be cheaper to buy a Retail Upgrade version of
Vista, the former I think.

What happens if I activate an OEM version in one system and then decide to
upgrade to a new system? Can I activate the OS in a new system?

Yes, you can without any problems.
