Is there a way in XP to shut down the messenger pop up
ads that keep appearing, w/o having to pay for the
programs that are advertised on those same grey pop up
ads?

Steve,

Enable the Internet Connection Firewall in Windows XP and prevent the
pop-ups:

Open Network Connections
Click the Dial-up, LAN or High-Speed Internet connection that you want to
protect, and then, under Network Tasks, click Change settings of this
connection.
On the Advanced tab, under Internet Connection Firewall, select one of the
following:
To enable Internet Connection Firewall (ICF), select the Protect my computer
and network by limiting or preventing access to this computer from the
Internet check box.

This blocks the TCP ports responsible for Messenger data tranmissions and
prevents Pop-ups.

there is the built-in windows messenger service which has been hacked and
now people use it to send advertisements directly to your pc. They are grey
with some text and just an OK buuton. If this is the messages that you are
getting then go to Control Panel - Admin Tools - Services. Scroll down to
"Messenger", double click it then click "Stop" then disable it from the drop
down list.
