Hi,
Can someone tell me whether the Windows XP Professional cd-
key be used legally for Windows 2000 Professional, if we
are not installing the Windows XP with the same cd-key
anywhere else?

Thanks in advance

Rajendra

No the Windows XP Product Key is not valid for use with Windows 2000.
There are downgrade rights which allow you to use a Windows XP license but
install an older OS such as Windows 2000 if you purchased your Windows XP
licenses through one of the Volume Licensing programs (Select, Open,
Enterprise Agreement etc)
See The section on Downgrade Options in Volume Licensing at:-
