Helping was easy, dbpoweramp is almost a classic answer to audio-questions
asked in this newsgroup.
BTW, if you're looking for any freeware solutions and you want to google for
it first:

is the way to google this newsgroup, make sure you check "search only in
alt.comp.freeware"

dBpowerAMP is a great solution and I recommend it too, although its
freeware status is changing. See the recent thread in this newsgroup:

Here's an alternative only for command-line users:
- go to www.vorbis.com and get a Windows binary of "vorbis tools"
- go to lame.sourceforge.net and get a Windows binary of "lame
command-line encoder"
- use program oggdec.exe to *decode* your .ogg files to .wav, then
lame.exe to *encode* those to .mp3.

These powerful little programs give you total control over the type,
size and sound quality of the files you're creating, but they're
harder to use. The same two websites contain long lists of compatible
graphical players and converters, including dBpowerAMP.

Cdex
Use the "Re-encode Compressed Audio Files" option.

I retract this advice. Cdex does not keep the tags intact. Recently, I
have been using Foobar instead, which does an amazing amount for a
little music player.
