Laptop, XP, BSOD, Memory?

A friend has an Dell Inspiron 4000 (Celeron 600)that was upgraded from
Win ME to XP professional(Clean instal). However, the machine takes
forever to startup and crashes often. When I checked it has 64m of ram
and XP lists 128 as the min. Often the crashes occur when it seems like
the machine is doing something and you try to do something else. You
can hear the HD going you try to open a program, move the mouse, etc and
crash. I have also noticed that 7 items use IRQ9 but none use 3,7,10, or 11.

The seven items are:

MS ACPI system
Ati mobility 3 (display)
Wireless G Notebook adapter
Texas instr. PCI-1420 cardbus controller (1)
Texas instr. PCI-1420 cardbus controller (2)
Intel PCI to USB host controller
U.S. Robotics 56K MiniPCI fax modem

This seems like a lot to share one IRQ. I haven't been digging in
machines for a few years so I'm a little out of the loop on current
stuff. The BIOS and Video have been updated to the latest available but
no change.

Could the problem be the need for memory, IRQ's or both?
