Ben

i have found from the licence label on my purchased XP Embedded Studio have a
"OEM software" printed on it.
Does the OEM software have any restriction on the depolyment or any meaning??

and is that every tool kit is a OEM software that it's normal for it to be
printed on the label.

Thanks all if any of you may help.

Ben,

yes, all Microsoft Embedded licenses and software are
OEM software.
When you want to deploy a XP-Embedded image you have
to purchase a runtime license (COA sticker) for this device.
This you can only do with a signed Microsoft Embedded OEM agreement
(CLA: Customer license agreement).
So every Embedded customer is an OEM to microsoft.
No fear: The OEM agreement has no qty. defined and is cost free.
Your Microsoft Embedded Distributor will help you with the agreement.
(Hopefully AVNET :-))

btw: to buy the Toolkit (Target Designer) you don't need to have this
agreement in place. Really only for deploying.
So engineering companies who want to buy a Toolkit don't need a OEM CLA with
Microsoft.
