It depends on your Windows 98 disk. If you purchased your Windows 98 CD
from a store (i.e. it's a retail boxed copy) then you can boot to the
Windows XP CD to do a clean install. During the installation, you'll be
prompted to insert a CD from an older version of Windows for "Proof of
License". Insert your Windows 98 CD to prove you qualify for the upgrade
license, and follow the instructions on screen.
It's also possible that Windows 98 CDs from certain OEMs (like Dell or
Compaq) *may* work as Proof of License if you can install Windows 98 from it
via the Microsoft Setup program, but it honestly varies.
If it's a Restore CD, however, it will not be a valid proof of license. To
qualify for the upgrade license in this case, you should install Windows 98
on your hard drive first, and then upgrade to Windows XP.
