What is the proper proceedure to follow when installing
new software in XP 2002 Pro? All vendors suggest shutting
down all running programs, espescialy anti-virus
software. I don't think disabling auto protect is
sufficient

Run their setup.
Follow the next, next, next and finish...
If needed - reboot.

I have not actually ever ran into trouble with the "kill all applications"
thing, doesn't mean others have not, but usually on installs, the worst you
will get for leaving your AntiVirus activated and other programs running is
a slower install. (The AV may scan every file, and closing down other
programs is good because the running program may be using a file that the
installation wants to replace..)
 
Vendors always tell you to close all open applications, without being
specific.

Under the hood, Windows XP is quite different from Windows 9x (i.e., 95, 98
and ME), so it often requires adjustments to the thinking to which we have
become so accustomed.

When installing (and uninstalling) software with Windows XP, you should
close all applications you currently have open, e.g., word processor,
browser, media player. To be sure that all applications are closed, open
Task Manager and look at the Applications tab - if it's empty, then you're
all set.

It's not even necessary to close applications that may be running in the
background, such as those whose icons are seen in the system tray. However,
it's a good idea to temporarily disable your antivirus software, because
some installers/uninstallers run scripts, and many antivirus programs are
configured to warn the user when a possibly malicious script is being run on
the system. This might cripple the install/uninstall.
