installing a new processor

I got a new amd processor I want to install in a Dell e521 computer,it is a
retail version,Dell has a oem version with a large heat sink,I want to
remove the fan-heat sink from new processor and just use Dell's heat
sink,how hard is it to remove the fan-heat sink from the new processor,I
really don't want extra fan noise,the Dell set up works good at cooling the
chip.

Have you looked in the CPU box?
The HSF is not preattached to the CPU. No removal is required.
Install the new CPU, then install the HSF of your choice. If you use the
Dell unit, be sure to clean the contact surface thoroughly and apply a thin
layer of TIM to the heatspreader of the new CPU.

I have had good luck just using the TIM that comes with stock heat
sinks, either AMD or Intel, then using Arctic Silver for reinstalls,
after carefully cleaning off the old thermal paste/thermal tape.

I've found the best to be wheel bearing grease. You won't find anything
cheaper. You won't find anything any easier to clean off. And you
won't find anything that works any better. I've been using 30+ year old
Valvoline for a couple of years now. I think I originaly paid $1 for the
two pound tub over 30 years ago. I used it for boat trailer and rear wheel
of towing car bearings. Half of it's still in the gargage with the plastic
lid and sides cracked. Still works great.:-) No, this isn't a joke. I just
refuse to pay $5 for a penny or less worth of grease that doesn't work any
better.
