In Outlook 2003 a person is prompted with the option to
install IRM if they try to use security on a message. Is
there a way to prevent them from installing the IRM
client or not receive the prompt?

Yes, there are group policies for setting defaults or blocking RM entirely. They're listed under Microsoft Office 2003 > Manage Restricted Permissions.

Am I correct in my assumption that Information Rights Management in
Office 2003 only works in an Exchange environment, i.e.: both sender &
receiver must be on an Exchange server?
