In-Place Upgrade - Continuous Loop

I've posted this once already, but haven't received enough
info to get windows installed.
I recently installed a new motherboard and processor and
attempted an In-Place-Upgrade as specified in Knowledge
Base Article 315341.
Windows installs all the drivers and completes the pre-
install, however, it gets stuck in an endless loop when it
begins to install windows. When it starts installing, it
says it has approximately 39 minutes left to install.
After about 20 minutes (when it says there are 34 minutes
left to install) the computer reboots and starts
installing windows again. I can be reached at roger-

REPLY:
Try rebooting into Safe Mode and let Setup continue. If
this does not
help, disable all external devices and let Setup continue.

If still having problems, open a command prompt with
Shift-F10
Change to c:\windows\system32 folder
Type - Start devmgmt.msc
Disable any unkown devices

Thanks Tom. still having trouble though. Please
clarify "external devices" would this include expansion
cards or I/O devices like printers etc. Also, At what
point do I hit shift-F10? I can't seem to bring up a
command prompt. Also may be of interest: Safe mode (and
Safe Mode with Command Prompt) brings up the BSoD
with 'Safe Mode' in all four corners and "Microsoft (R)
Windows XP (R) (Build 2600.xpsp1.020828-1920:Service Pak
1) top center; NO command prompt. All help appreciated.

Did you try removing RAM sticks as I suggested - how can you boot into safe
mode when you haven`t finished installation ?
 
I haven't tried replacing my RAM yet. I want to rule out
software problems before I buy more RAM. As far as Safe
Mode goes, maybe it's loading of the old OS, I'm not sure,
but it is loading as described.
