"IE has encountered a problem and needs to close"

When trying to open IE, I get the message "Microsoft
Internet Explorer has encountered a problem and needs to
close. We are sorry for the inconvenience." and is asked
whether to send an error report. IE does not open.

The error report includes:
AppName: iexplore.exe
AppVer: 6.0.2800.1106
ModName: shell32.dll
ModVer: 4.72.3110.6
Offset: 000023b3

I have tried to:
- replace iexplore.exe and shell32.dll files with ones from
a computer with working Explorers; this didn't change
anything
- remove/reinstall/update IE; I'm not sure I was able to
remove IE properly, but this didn't vhange anything either

.... so now I ask if anyone have suggestions or have
experienced the same? (I'm using Windows 98)

These are for IE 5 but check them out for clues.

I get the same error on Windows XP. This happened after I mistakenly installed some spyware related to mp3 files and then removed the spyware by uninstalling / removing files then removing stuff from the registry.

I also did a restore to an earlier date, but that did not restore the registry.
