In the RUN window, type in MSCONFIG and hit the OK button.
Tell it to expand this file form the I386 folder of your
installation CD and place it in C:\Windows\System32
(assuming a standard installation).
If this doesn't resolve it, go back to the RUN window and
type in "regsvr32 mshtml.dll" (without quotes) and hit
<Enter>. This should result in an information window that
tells you it succeeded in re-registering the file. It
should then work.
