Hello
I have a generic system running win98se and a laptop
running winxp
the win98 machine is connected via cable to the internet
the laptop is networked to the 98 machine
i cannot get the xp machine to ICS through the 98se machine
is this possible and is there any sites available that
would have step by step instructions an how to set this up?

You only install ICS on the computer connected to the Internet. See:
