ICS working but modem is crazy !

I have three w2k pro and one w98 on a small network and ICS is working...too well ! The modem keeps dialing every 5 mins ! At first, I thought it was because of a virus. But my computers are cleaned and it keeps doing it. The only trick I found is disabling "dial-on demand" option. But now, we have to bother the same user everytime we want to access the Internet ! I would like to keep clicking on IE to access the Internet without asking for permission...

Any ideas about what causes the modem to ring continuously

Could be spyware. Pull out the plug and see which computer is causing the
dialing up.

Could be an email program set to periodicall check for email.
Could be a program like antivirus or windows update trying to update.
Could be spyware calling home.
