How I can upgrade windows 2000 member server into windows 2003 ser

Hi,
I want to know how I can upgrade a windows 2000 member server to windows
2003 server. I have a windows 2003 standard server cd, but it has mentioned
on cd, this cd is not for upgrade. Do I need a upgrade windows 2003 cd? and
also do I need to install all my current softwares again after upgrade from
screch or there is any possiblity or tool which I can install.
Please help..

Your nearest MS partner or good software vendor should be able to source it
for you?
