What do you mean by "free" copy? Is it genuine and activated? If so then
yes with it installed, genuine and activated you can use an upgrade edition
of Vista, though it will not do an in place upgrade, just a custom install.

Get it at your favorite discount computer supply store or on line retailer.
Check them for the prices.

Depends on what you mean by "free." If you are talking about a Not For
Resale copy of XP Pro x64 you got at an event, then I suspect it is eligible
for upgrade pricing to Vista. The purchase of a retail upgrade or full
edition entitles you to the installation media for both x86 and x64. You
choose which you want to use. Some editions require that you request the
x64 dvd.
