Configure winXP as an Internet Connection Sharing host. Configure
win98 as an Internet Connection Sharing client. The easiest way to do
both is to use XP's Network Setup Wizard, which will also set up file
and printer sharing between the computers. Full details here:

Windows XP Internet Connection Sharing

Physically connect the computers in either of these ways:

1. Directly to each other, using a crossover Ethernet cable. A
regular Ethernet cable won't work.

2. Indirectly, using a network hub or switch and two regular Ethernet
cables.

Here's a completely different alternative if you have a broadband
(cable modem, DSL) Internet connection: connect both computers and
the broadband connection to a home broadband router. You don't need
to install Internet Connection Sharing at all. If you do this, tell
the Network Setup Wizard that the computers connect to the Internet
through a "residential gateway".
