How much hardware can you upgrade before your have to pay for a new XP
license, I would like to upgrade motherboard cpu and memory.

You don't have to purchase a new license when upgrading hardware
unless your computer has a preinstalled OEM version of XP and you
make hardware changes that prevent the OEM's Restore CDs from
working.

There is no limit. Product Activation is a licensing protection measure.
It does not prevent you from upgrading in any way. The only limit is how
many machines you can install the software on. The standard EULA is one
machine.

XP will balk if you do more than 6 upgrades in 120 days. In that case,
it will have problems with the Internet activation. No problem, if it
does, it will give you a number and provide a toll-free number (to a
machine) that will do the upgrade by phone (be prepared to type a lot.)

If that doesn't work, you will be put in touch with a live person. You
will still get your activation.
