I have a W2K Server running on a Duron 1.2GHz. I'm
thinking of upgrading the processor and motherboard but
I'm not sure about the best way to do it. Has anyone got
any great ideas?

The following will get you started. I also recommend that you bookmark
support.microsoft.com - it's a site you will need again. BTW, before you
upgrade, make sure that W2K and the new hardware are in fact compatible - you
just can't take that for granted
anymore.

Unless the new motherboard is virtually identical to the old one
(same chipset, IDE controllers, etc), you'll most likely need to
perform a repair (a.k.a. in-place upgrade) installation, at the very
least (and don't forget to reinstall any service packs and subsequent
hot fixes):
