Folder syncing???

I have two systems that cannot be networked. A year a ago each got a copy
of a 40 MB folder loaded onto its hard drive. Since then each system has
had data added to the folder but the two are not synchronized; i.e. each has
data that the other one doesn't. One system is Win98SE and the other is
Win2000.

My question is: given that I have a USB flash drive to move the folder
between the two systems, is there a simple way to synchronize the data? I
can't just overwrite one with the other as I may lose data that's been
updated in the written over files and subfolders.
 
This depends on;
1) What type of data, in what form, eg 'todays.doc'
2) Are sys completely independant, ie both sys being used at same time or eg
you have one at home the other in the office and only you access them.
 
1. All types - from .doc to .tif
2. independent but I can force a "standdown" so the systems wont change for
a day.

DOS used to have a copy utility (XCOPY?) that handled this but I haven't
found an equivalent windows utility.
