Error upgrading to Win 2K

I am getting an error when trying to upgrade from WIN98SE
to WIN2k. It is consistently there and it causes the
program to abort.

It gives the following detail:

WINNT32 caused an invalid page fault in
module KERNEL32.DLL at 0167:bff88396.
Registers:

That's it. Can anybody shed some light on this?
I am on an Intel P4 processor 2.4 Ghz with 512k of ram,
plenty of storage.

Any thoughts?

Thank you for your input. You hit the nail on the head. I
blew away quickbooks and was able to upgrade to WIN2K. It
is up and running fine at this point.

Nice to know you fixed the problem. For the record, Quickbooks isn't the
only application in the list: Powerbuilder, Cabnetware, or Oracle for
Windows 95.
