You might consider running the User State Migration Wizard on your existing
Windows XP installation; then either upgrading (or better still) clean
installing WinXP on the C-drive (System partition). Of course, you would
want to move all files from the C-drive into the D drive prior to formatting
or you'll lose that data. However, everything in the D drive should remain
in tact. (backup would be advisable)
You could easily accomplish this by the following:
1. Run User State Migration Wizard on existing WinXP install (in D drive)
2. Save all desired data by copying from C drive to D drive (if you're not
going to attempt an upgrade of W98). Also, save any files from your
Documents and settings (though you could through USMW in step 1)
3. Ideally make backup of all data (using NTBACKUP built-in to WinXP or
burning to CDs, etc)
4. Boot computer with WinXP CD in drive (and ensure BIOS boot sequence
allows you to boot to CD).
5. When you see the black screen stating "Press any key to boot from CD..."
press any key and continue with installation.
6. When the screen that recongizes the partitions come up, highlight your
first partition.
7. In a subsequent screen you'll be asked whether you'd like to keep the
file system in tact or format, choose QUICK FORMAT NTFS
8. Allow Setup to continue and after completed, then install applications
9. Run User State Migration Wizard to import your previous settings
10. Delete D:\Windows or D:\Winnt directory, since that's where the original
WinXP was installed

NOTE: The aforementioned action plan is one that I would employ, ensuring
that any "kinks" that may have developed over the years in my Win9x install
were removed (like viruses, faulty apps, etc). Let me know if you wanted a
different action plan to attempt an upgrade of your Win98 install.
