Drive C corrupt and cant continue setup

I get this message when I was trying to upgrade to XP from Me

"Setup has detected that drive c is corruptand cannot be repaired. Setup
cannot continue"

Is it that there are bad sectors on my HD??
I have tried scandisk but still...
